Taption Affiliate Program Terms of Service

Definitions and Interpretation

1.1 Definitions

"Affiliate" means you, the individual or entity participating in the Program. "Company" or "Taption" means Taption. "Program" means the Taption Affiliate Program. "Services" means Taption's products and services. "Referred Customer" means a Taption user whose account is linked to the Affiliate through the Affiliate's referral link. "Commission Period" means the 364 days after a Referred Customer's account is linked to the Affiliate.

Commission Structure and Payments

2.1 Commission Rate and Calculation

a) Subscriptions: Affiliates can earn up to 25% commission on every subscription payment a Referred Customer makes during the Commission Period, including the first payment, monthly and annual renewals, plan upgrades and additional seats. Subscription payments made after the Commission Period ends are not eligible.

b) Minutes and AI credits: Affiliates can earn up to 25% commission on every purchase of additional minutes or AI credits a Referred Customer makes during the Commission Period, on any plan.

c) Calculation: Each commission is either a percentage of the amount the Referred Customer actually paid, excluding taxes, or a fixed amount per eligible payment. Specific commission rates and eligibility criteria will be provided upon application approval. Free or $0 payments, such as free trials and 100%-off coupons, and failed payments do not earn commission.

d) Self-referrals are strictly prohibited. Purchases made by the Affiliate’s own account, or by an account using the Affiliate’s email address, do not earn commission. Taption also monitors transactions for other self-referrals, and any violation will result in immediate revocation of commissions without prior notice.

e) There is no cap on the total amount of commission an affiliate can earn. Affiliates have unlimited earning potential based on their performance and referrals.

2.2 Tracking Methodology

a) Referral tracking utilizes local storage technology. A customer becomes a Referred Customer when they sign up for, or log in to, a Taption account after visiting Taption through the Affiliate’s referral link.

b) Tracking is dependent on the user’s device and browser settings; Taption is not responsible if tracking data is blocked or cleared by the end user.

c) Before an account is linked, the most recent referral link visited in that browser is used. Once linked, an account stays with that Affiliate and cannot be linked to another Affiliate.

d) The Commission Period lasts 364 days from the date the account is linked. It does not restart with later purchases, renewals, or visits through a referral link.

2.3 Payment Terms

a) Payment method: Commissions are paid through Stripe to the Affiliate’s connected Stripe account. Affiliates must keep a valid connected Stripe account to receive commissions. Any fees charged by Stripe or the Affiliate’s bank are the Affiliate’s responsibility.

b) Payment schedule: Each commission is transferred automatically once the Referred Customer’s payment succeeds, and Taption sets no minimum payout threshold. The funds become available in the Affiliate’s Stripe balance once the customer’s payment settles, and are paid out to the Affiliate’s bank on the Affiliate’s Stripe payout schedule.

c) Refunds and chargebacks: If a payment is refunded, its commission is reversed in proportion to the amount refunded. If a payment is disputed or charged back, the remaining commission on that payment is reversed. Reversed amounts are recovered from the Affiliate’s Stripe balance and are not reinstated.

d) Taption reserves the right to audit and verify all transactions.

e) Final determination: Taption determines whether a payment is eligible and calculates each commission based on its own records, and these determinations are final. Taption may correct any commission paid in error, including by reversing it or deducting it from future commissions.

2.4 Referral Source Disclosure

Affiliates are required to disclose to potential customers that they may earn a commission when promoting Taption’s Services to ensure compliance with transparency principles.

Affiliate Obligations and Compliance

3.1 Marketing Requirements

a) Accurate representation of Services is required.

b) Pre-approved marketing materials only.

c) FTC disclosure compliance is mandatory.

d) Professional conduct standards apply.

3.2 Social Media and Transparency Guidelines

a) Affiliates must clearly communicate any relationship with Taption when promoting the products.

b) Affiliates are permitted to use Taption trademarks, logos, and links on social media, but may not tag official Taption accounts unless permitted.

c) Affiliates must adhere to all applicable advertising, privacy, and data protection laws, particularly for online and email marketing.

3.3 Prohibited Activities (Material Breach)

a) Unauthorized trademark usage.

b) Deceptive advertising practices.

c) Self-referral or fraudulent activities.

d) Impersonation of Taption or misrepresentation of the relationship with the Company.

e) Unauthorized paid search advertising.

f) Violations of data privacy obligations when collecting or handling user data.

Legal Framework

4.1 Relationship Status

a) Independent contractor relationship.

b) No employment, partnership, or agency relationship created.

c) Affiliate is responsible for their own taxes and compliance.

4.2 Intellectual Property

a) Limited license to use approved materials.

b) No ownership rights are transferred.

c) Strict compliance with brand guidelines is required.

d) Taption reserves the right to use any promotional content created by affiliates for marketing purposes.

4.3 Confidentiality

a) Two-year post-termination obligation.

b) Includes business practices and customer data.

c) Survival clause applies post-termination.

4.4 Termination

a) 30-day written notice for standard termination.

b) Taption reserves the right to terminate the partnership immediately if any terms of service are violated.

c) Commission payment obligations survive termination, except in cases of violation.

d) Affiliates may not continue using Taption’s branding or affiliate links after termination.

e) Taption may retroactively void commissions if the affiliate is found in violation of these terms.

Dispute Resolution and Governing Law

5.1 Jurisdiction

a) Washington state law governs.

b) Exclusive jurisdiction in Washington courts.

c) Alternative dispute resolution option is available for international affiliates.

5.2 Limitation of Liability

a) Limited to earned commissions.

b) No indirect or consequential damages.

c) Force majeure provisions apply.

d) Limitation of liability does not cover breaches of confidentiality, intellectual property misuse, or indemnification obligations.

Data Protection and Privacy

6.1 Data Collection Practices

Affiliates are required to comply with all relevant data privacy laws, such as GDPR, CCPA, and other applicable international standards when collecting or handling customer data.

Modifications and Acceptance

7.1 Agreement Modifications

a) 30-day notice is required for changes.

b) Continued participation constitutes acceptance.

c) Taption reserves the right to make immediate modifications for regulatory compliance or urgent business needs, with notice provided as soon as possible afterward.

d) Affiliates may terminate participation if changes are unacceptable.

7.2 Severability

If any provision is found invalid, remaining provisions remain in effect.

Indemnification

8.1 Indemnification

Affiliate agrees to indemnify and hold Taption harmless from any claims, damages, liabilities, or expenses arising from the Affiliate’s participation in the Program or breach of these terms, including misrepresentations, negligence, or unlawful actions.

Entire Agreement and Electronic Acceptance

9.1 Entire Agreement

This Agreement constitutes the complete understanding between the parties and supersedes prior agreements.

9.2 Electronic Acceptance

By electronically signing up and participating in the Program, the Affiliate acknowledges and agrees to all terms and conditions herein.
