01Our agreement with you
These Terms of Service govern your use of Taption's website, applications, editing tools, application programming interfaces (APIs), connectors, and related services that refer to these Terms (together, the Services). The Services are provided by Taption LLC, a company registered in Washington, United States (Taption, we, us, or our).
You means the individual accepting these Terms or, if the Services are used on behalf of a company, institution, or other organization, that organization. If you accept these Terms for an organization, you confirm that you have authority to bind it. References to your users include the people you authorize to use your account or team workspace.
By creating an account, accepting an order that incorporates these Terms, or using the Services, you agree to these Terms. If you do not agree, do not use the Services. Our Privacy Policy explains how we handle personal information.
If you and Taption enter into a separate written enterprise agreement or order form, that agreement controls over these Terms to the extent of a conflict within its scope. An applicable, separately agreed data processing agreement or addendum (DPA) controls the processing of personal data covered by that DPA. These Terms do not by themselves create a DPA, service-level agreement, or industry-specific compliance arrangement.
Acceptance of these Terms does not itself provide consent to personal information processing for which applicable law requires a separate consent.
02Eligibility and account security
You must be at least 18 years old, and legally able to enter into this agreement, to create an account or use the Services. This account requirement does not prohibit an authorized adult or organization from lawfully processing educational or other recordings involving younger individuals, subject to the permissions and safeguards described in Section 5.
Provide accurate account and billing information and keep it current. Protect your password, API keys, access tokens, and other credentials. Use the access and security controls available to you, and tell us promptly at help@taption.com if you suspect unauthorized access.
You are responsible for activity you authorize through your account, including activity by your users and applications using your credentials. This does not excuse Taption from responsibility for its own acts or failures. Do not share a single-user login to bypass a plan's seat requirements or transfer an account in a way that exposes someone else's information.
03Plans, teams, and permitted use
Subject to these Terms and the applicable plan, Taption grants you a limited, nonexclusive right to use the Services for lawful personal, educational, professional, and business purposes. Commercial use of your Customer Content and results is permitted, subject to the rights of others and applicable law.
Your plan or order describes the features, seats, usage allowances, and limits you purchase. Some features require a subscription, additional usage, or separate access. The pricing page, checkout, and applicable order provide the relevant commercial details. An estimate shown by a pricing calculator is not an invoice or a separate commitment.
For team accounts, administrators may manage membership, permissions, and shared resources through the controls available in the Services. Your organization is responsible for choosing administrators, assigning access appropriately, and explaining its own policies to its users. Content in an organization-managed workspace may be accessible to its administrators and other members according to the applicable permissions. Contact your administrator about organization-controlled access or content.
04Your content and ownership
Customer Content means the audio, video, text, files, links, prompts, instructions, corrections, custom vocabulary, related file or project information, and other materials you or your users submit to the Services, together with the transcripts, subtitles, translations, summaries, analyses, and other results generated for you from those materials.
As between you and Taption, you retain your rights in Customer Content. Taption does not acquire ownership of your recordings or other materials by receiving or processing them. To the extent Taption has any transferable intellectual property rights in results generated specifically for you, Taption assigns those rights to you. This does not transfer ownership of Taption's software, models, templates, or other technology, or give you rights in someone else's materials.
You give Taption a nonexclusive permission to host, copy, process, transform, transmit, and display Customer Content only as necessary to provide, secure, maintain, and support the Services for you, carry out your instructions, and comply with applicable law. This includes using service providers for those purposes under appropriate confidentiality and data protection obligations. It also includes sharing or exporting content when you or an authorized user direct us to do so.
This permission does not authorize Taption to sell Customer Content, use it in advertising, publish it as a sample, or exploit it for unrelated commercial purposes. It ends when the relevant content has been deleted, except to the limited extent necessary to complete the retention and deletion processes described in our Privacy Policy or comply with a legal obligation.
Customer Content is not a public contribution merely because you upload, process, or store it. If you intentionally share or publish content using a sharing feature, the resulting access follows that action and the available sharing settings.
05Your authority to record and process content
You are responsible for having the rights, permissions, and lawful basis necessary to collect, record, upload, import, process, and share Customer Content, and to instruct Taption to process it. This includes applicable recording-consent requirements, copyright permissions, privacy notices, and any obligations you owe to the people recorded or to your organization.
A publicly accessible media link does not, by itself, establish that you have permission to copy, transcribe, translate, or redistribute the underlying material. Respect the terms and access restrictions of the source service. Do not use Taption to bypass a paywall, authentication requirement, or other access restriction.
If your content concerns students, children, employees, research participants, or other individuals, provide the notices and obtain the permissions that your use requires. You remain responsible for deciding whether Taption is appropriate for your intended use and the sensitivity of the information.
Do not submit protected health information or other specially regulated information where its processing requires an agreement or safeguards that Taption has not expressly agreed in writing to provide. An ordinary subscription does not include a business associate agreement or represent that the Services satisfy every regulatory requirement applicable to your organization.
06Automated processing and results
Taption uses automated systems to produce transcripts, subtitles, translations, speaker labels, and other results. We do not use Customer Content to train or fine-tune AI models, and we do not permit our service providers to use it for that purpose. Neither Taption nor our service providers use Customer Content for manual transcription or human quality review.
Automated results can contain omissions, incorrect speaker labels, inaccurate timestamps, mistranslations, or generated statements that are not supported by the source material. Quality can vary with the recording, language, background noise, overlapping speech, terminology, and instructions. You should review and, where needed, correct results before relying on, distributing, or publishing them.
Results are not a substitute for professional judgment, a certified translation, or an independently verified record. Do not rely on them alone for decisions that could materially affect an individual's health, legal rights, employment, education, or other significant interests. We do not guarantee that every result is accurate, unique, copyrightable, or suitable for a particular purpose.
These limitations on automated results do not reduce our express commitments concerning ownership, permitted uses of Customer Content, confidentiality, or data protection.
Limited operational access for support, security, service investigations, or legal obligations is governed by Section 7. Such access does not authorize manual transcription, human quality review, or model training.
07Confidentiality and data protection
We treat nonpublic Customer Content as confidential. We use and disclose it only for the purposes permitted by these Terms, your instructions, an applicable agreement, and law. Personnel and service providers who need access to perform those responsibilities must be subject to confidentiality obligations appropriate to their role.
We limit access to what is needed to provide the Services, address support you request, investigate a security or service issue, or meet a legal obligation. This limited operational access is distinct from manual transcription, model training, or human quality review of your files.
We maintain technical and organizational safeguards designed to protect Customer Content against unauthorized access, disclosure, alteration, and loss. These include HTTPS for uploads and downloads, controls over access to team content, and the confidentiality and access restrictions described above. Our Privacy Policy describes these safeguards. No online service can guarantee absolute security.
Taption will notify affected organizational customers without undue delay after becoming aware of a personal data breach affecting their Customer Content, as required by applicable law and any applicable DPA. We will provide reasonably available information about the incident and relevant mitigation measures, and supplement that information as it becomes available.
If disclosure is legally required, we will disclose only the information the requirement calls for and, unless prohibited by law, notify you where reasonably practicable. Confidentiality does not apply to information that becomes public without a breach of an obligation, is independently developed without using confidential information, or is lawfully received without a duty of confidentiality.
You remain responsible for the data protection obligations that apply to your role, including any obligations you have to another organization on whose behalf you act. Where Taption processes personal data in Customer Content on your behalf, an applicable DPA sets out additional processing instructions and responsibilities. Our Privacy Policy describes our processing practices, service-provider categories, transfers, retention, and rights-request procedures.
Requesting a DPA. Organizations can contact help@taption.com to request a separately signed DPA and discuss the processing scope, security measures, subprocessors, processing locations, retention, and any required international-transfer safeguards. Arrange any required agreement before submitting the affected personal data. A DPA takes effect only when agreed in writing by both parties; requesting one or purchasing a subscription does not by itself put a DPA in place. Institution-specific requirements, including education-record protections, must also be addressed in the applicable agreement.
The absence of a separately agreed DPA does not relieve either party of obligations imposed on it by applicable data protection law.
08Retention, deletion, and exports
You can use the available controls to export or delete content. Keep a separate copy of materials and results you need to retain for your own records. Subscription cancellation, deletion of an individual transcript, and account closure are different actions and have different effects.
Transcript and media deletion. When you delete a transcript, we remove its associated original audio or video from active Taption storage as part of the deletion process, and delete the transcript and associated generated results from active systems within 10 days. Deleting only a media file does not by itself delete its transcript or generated results; delete the corresponding transcript to request their deletion as well.
Account closure. When you close your account, our support team completes deletion of your account's original media, transcripts, and associated generated results from active systems within 10 days of account closure. Export needed content before closing your account. Contact help@taption.com to arrange account closure or for help with content deletion, including if you no longer have account access. Canceling a subscription does not close your account or start this deletion period.
Team and organization content. Closing an individual team member's account or removing their access does not by itself delete content held in another account or an organization-controlled workspace. An authorized administrator should arrange deletion of organization-controlled content in accordance with the organization's instructions and any applicable agreement.
Archives, backups, and provider copies. Removal from active storage is separate from erasure of archived media, backups, and temporary service-provider copies. Those copies follow the separate retention and deletion lifecycles described in Section 9 of our Privacy Policy and any applicable DPA. They may remain after active content is deleted. Any remaining copies continue to be subject to the confidentiality and permitted-use restrictions in these Terms.
Retention required by law, such as retention of certain billing records, is separate from keeping your uploaded media for service delivery. The limited preservation exceptions in our Privacy Policy also apply. Deletion does not cancel amounts properly due, and cancellation does not itself create a right to a refund.
09APIs, connectors, and connected services
You may use Taption's APIs, supported integrations, and connectors, including connectors based on the Model Context Protocol (MCP), where access is made available to you. Authorized automated use through those interfaces is permitted. Follow the applicable documentation, authentication requirements, rate limits, and plan limits.
Protect API credentials and ensure your applications handle user information securely. Your applications and automated workflows may initiate processing and consume minutes or credits. You are responsible for the actions you authorize and for controlling repeated requests, retries, and other usage generated by your applications.
When you connect a third-party application or direct Taption to import or export content, you authorize the information exchange needed for the requested action. The third-party service's own terms and privacy practices govern its separate handling of the information it receives. Review those terms and manage the permissions you grant. Disconnecting an integration does not automatically delete copies already transferred to that service.
A third-party platform may change, limit, or discontinue an integration. We do not control its availability or conduct. This provision does not remove Taption's responsibilities for providers it engages to process Customer Content on Taption's behalf.
10Acceptable use
Use the Services lawfully and respect other people's rights. You must not:
- Submit or distribute content that you lack authority to process, or use the Services for unlawful recording, surveillance, impersonation, exploitation, or harassment.
- Upload malware, attempt to gain unauthorized access, interfere with security controls, or disrupt the Services or another customer's use.
- Access, disclose, or attempt to extract another customer's content or credentials without authorization.
- Evade usage, billing, seat, authentication, or rate limits, or misrepresent your identity or entitlement to an offer.
- Scrape or automate access through unsupported methods in a way that compromises security, extracts protected information, or circumvents the authorized interfaces.
- Reverse engineer or copy the Services except to the extent applicable law permits, or remove proprietary notices from Taption's software or materials.
- Resell access to Taption or present the Services as your own hosted service unless your agreement expressly permits it. This restriction does not prevent permitted use of results in your own work or business.
These restrictions do not prohibit lawful research, education, journalism, criticism, or processing a recording merely because the recording discusses sensitive or objectionable subjects. The relevant question is whether your use and instructions are lawful and consistent with these Terms.
11Fees, usage, and payment
You agree to pay the fees and applicable taxes disclosed for purchases you authorize. Unless an order states otherwise, prices and payments are in U.S. dollars. Maintain accurate payment details and authorize us and our payment processors to charge the payment method you provide for those purchases and any subscription renewals you accept.
Transcription usage is measured by media duration, with each transcription rounded up to the nearest whole minute. Translation and other metered actions can consume additional usage as described in the applicable plan or purchase flow. AI credits, where offered, are a separate usage allowance. Consult the current plan details before starting a chargeable action.
Included subscription minutes carry over while the subscription remains active. Their carryover ends when the subscription ends. Separately purchased add-on minutes do not expire with time or merely because you cancel a subscription; they remain available for use subject to continued account access. Non-expiring minutes do not guarantee indefinite access to the Services. You cannot use those minutes while your account is suspended or after it is closed or terminated. Unused minutes remain subject to the refund terms in Sections 12 and 15 and any mandatory rights under applicable law. The terms displayed for a particular promotional offer govern that offer's eligibility and limits.
We will not apply a new price retroactively to a completed purchase or the current prepaid subscription period. Before a subscription price change takes effect at renewal, we will notify you so you can decide whether to continue. If you believe a charge or usage deduction is incorrect, contact help@taption.com so we can investigate and correct any error. This does not limit payment-dispute rights available under law.
12Subscription renewal, cancellation, and refunds
Subscriptions renew for the billing interval disclosed when you subscribe unless you cancel before the next renewal. Recurring charges are authorized only as disclosed and accepted in the purchase process. Annual billing means you pay for the annual term, even where a monthly equivalent is shown for comparison.
You can cancel a subscription through your account or by contacting help@taption.com. Cancellation takes effect at the end of the current paid term. You may continue using the purchased subscription until then, subject to these Terms. Retain your cancellation confirmation and contact us if you are unsure whether a cancellation has been completed.
Purchases are nonrefundable unless a refund is required by applicable law, expressly provided in your order or a promotion, or otherwise agreed by Taption. This includes unused portions of a subscription and unused usage purchases. Nothing in this section excludes mandatory consumer remedies or the specific refunds described in Section 15.
If a payment fails, we may ask you to update the payment method and may restrict paid features if the amount remains unpaid. Where reasonably practicable, we will notify you and give you an opportunity to resolve the issue before suspending access.
A mandatory legal right to cancel, withdraw, obtain a refund, or stop charges sooner takes precedence over the end-of-term cancellation and nonrefundability provisions above. Applicable requirements for renewal reminders, notices of changes, affirmative consent, and accessible cancellation methods also continue to apply.
13Taption technology and feedback
Taption and its licensors retain their rights in the Services, including software, interface design, documentation, trademarks, and technology. These Terms grant you the right to use the Services described here; they do not transfer ownership of that technology.
If you voluntarily give us suggestions or other product feedback, you allow us to use that feedback to develop and improve the Services without owing compensation. This permission does not include a right to publish your identity, disclose confidential information, or use Customer Content for model training. Merely uploading a recording, correcting a transcript, or entering custom vocabulary is not product feedback that gives us broader rights in that content.
To report suspected infringement or misuse, contact help@taption.com with enough information to identify the material, your concern, and how we can contact you. We may investigate and take appropriate action consistent with these Terms and applicable law.
14Changes, availability, and support
We may update the Services to maintain security, improve functionality, or respond to technical and legal changes. We will use reasonable efforts to give advance notice of a material reduction in purchased functionality or a discontinuation that affects your use, unless urgent security, legal, or operational circumstances prevent it.
The Services may be unavailable during maintenance or because of failures, network issues, or events outside our reasonable control. We do not promise uninterrupted availability, a particular processing time, or an uptime percentage under these Terms. Any separately agreed service-level commitments apply according to their own terms.
Support is available through help@taption.com. Features and support levels depend on your plan or agreement. We will not use a service change to expand our rights to your Customer Content beyond the permissions described in these Terms.
15Suspension and termination
We may suspend access to the extent reasonably necessary to address a security threat, unlawful activity, material misuse, a legal requirement, or an unpaid charge. Where practicable, we will explain the issue and give you an opportunity to resolve it. A suspension will be limited to the affected access or functionality where reasonably possible.
Either party may terminate this agreement if the other materially breaches it and does not remedy the breach within 30 days after written notice. Immediate action is permitted where the breach cannot be remedied, continued access would create a material security or legal risk, or applicable law requires it.
If Taption ends a prepaid subscription for convenience or permanently discontinues the purchased service without your breach, we will refund the unused prepaid subscription portion and any unused separately purchased usage that can no longer be used. Where legally and technically practicable, we will give you a reasonable opportunity to export your content before access ends. This does not promise recovery of content you previously deleted.
After termination, your right to access the affected Services ends. Outstanding payment obligations, ownership provisions, confidentiality, applicable deletion obligations, liability provisions, and dispute provisions survive to the extent needed to give them effect. Retained information remains subject to our Privacy Policy and any applicable DPA.
16Warranties and disclaimers
We will provide the Services with reasonable care and skill. Each party represents that it has authority to enter into this agreement and will comply with laws applicable to its own performance.
Except for our express commitments in these Terms or a separate agreement, the Services and automated results are provided on an "as available" basis. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not warrant that the Services will be error-free, that an integration will remain available, or that automated results will meet every requirement of your intended use.
These disclaimers do not override our express content-use, confidentiality, or data protection commitments, or any warranty or remedy that applicable law does not allow us to exclude. If you are a consumer, you retain mandatory rights that apply to you.
17Limitations of liability
To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages arising from this agreement, including lost profits or business opportunities to the extent they are indirect or consequential damages.
Each party's aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of US$100 or the fees you paid or owe Taption for the affected Services during the 12 months before the event giving rise to the claim.
These exclusions and limits do not apply to fraud, willful misconduct, your obligation to pay properly due fees, or liability that applicable law does not permit to be excluded or limited. A separately agreed enterprise or institutional agreement or DPA may set different limits, including higher limits for confidentiality breaches or security incidents, for the matters it covers. Any such limits must be expressly agreed in writing and apply only within that agreement's scope. Nothing here excludes all liability for a loss of Customer Content or a breach of confidentiality solely because that loss involves data.
18Governing law and resolving disputes
Washington State law governs these Terms, excluding its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. This choice of law does not deprive consumers of mandatory protections available under the laws that otherwise apply to them.
If a dispute arises, first send a written description to help@taption.com. We will use your account contact information if we raise a dispute. The parties will try in good faith to resolve the dispute for 30 days after notice before starting court proceedings. Either party may seek urgent protective relief or take action needed to prevent a claim from becoming time-barred during that period.
If the dispute is not resolved, the state and federal courts located in King County, Washington will have jurisdiction, and the parties consent to that jurisdiction, except where mandatory law gives a consumer the right to proceed elsewhere. These Terms do not require mandatory arbitration or impose a shortened contractual deadline for bringing a claim. A different dispute process may apply if separately agreed in writing.
19Updates to these Terms
We may revise these Terms to reflect changes in the Services, law, or our business. We will publish the revised version with an updated effective date. For material changes, we will provide advance notice through the Services or the email address associated with your account, except where an immediate change is required to address a legal or urgent security issue.
Changes apply prospectively. They do not expand our rights to previously submitted Customer Content for unrelated uses. If a change requires your consent under applicable law, we will seek that consent. Continued use after a notified effective date constitutes acceptance only to the extent permitted by applicable law. If you do not accept a change, you can stop using the Services and cancel your subscription. A signed agreement's amendment procedure controls changes to that agreement.
20General terms and contact
These Terms, the purchase terms you accept, and any applicable separate written agreement form the agreement concerning the Services. A failure to enforce a provision is not a waiver. If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law.
Neither party may transfer this agreement without the other's consent, except to a successor in connection with a merger, reorganization, or sale of the relevant business, provided the successor assumes the obligations. A transfer does not expand the permitted uses of Customer Content. Neither party is responsible for delay caused by circumstances beyond its reasonable control, but this does not excuse accrued payment obligations or eliminate required data protections.
The parties are independent contractors. Electronic notices and records may be used to the extent permitted by law. Nothing in these Terms waives a requirement that the law makes nonwaivable or restricts lawful communications with a regulator.
